These terms govern your use of this website and of the APEX Terminal and Omega Terminal applications ("the software") supplied by COMPANY NAME ("we", "us"). By downloading or using the software you agree to them. If you do not agree, do not download or use it.
1. Licence
Choose and state your licence here. For example: "The software is provided free of charge for personal use. You may install it on any number of machines you own." — or the terms of a paid or invite-only licence, including any per-seat limits, term, renewal and refund policy.
You may not redistribute, resell, sublicense, rent or host the software for third parties, nor remove or alter any notice contained within it, except as expressly permitted by the licence above.
2. Reverse engineering and modification
State your position. For example: "You may not decompile, disassemble or reverse engineer the software except to the extent that applicable law expressly permits it despite this limitation."
3. Your responsibilities
- You must hold your own account with a supported broker and comply with that broker's API terms of service.
- You are responsible for the security of your machine, your Windows user account and the credential vault stored on it. We cannot recover a lost vault.
- You are responsible for complying with all laws and regulations applicable to you, including any that govern automated or algorithmic order placement.
- You must not use the software for market manipulation, unauthorised access to any system, or any other unlawful purpose.
4. Trading risk
The software places real orders in your real account. Trading carries a substantial risk of loss. The Risk Disclaimer forms part of these terms and you should read it in full before connecting a live account.
5. No warranty
The software is provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the software will be uninterrupted, timely, secure, error-free, or that any defect will be corrected.
6. Limitation of liability
To the maximum extent permitted by law, in no event shall we be liable for any trading loss, lost profits, lost data, business interruption, or any indirect, incidental, special, consequential or punitive damages arising from or relating to the software or this website, under any theory of liability, even if advised of the possibility.
Where liability cannot be excluded by law, our total aggregate liability is limited to the amount you paid us for the software in the twelve months preceding the claim, or INR 1,000, whichever is greater.
7. No advice, no fiduciary relationship
We provide software, not advice. We are not your broker, adviser, agent or fiduciary. We never hold, control or have visibility of your funds, securities or credentials.
8. Availability and updates
We may change, suspend or discontinue any part of the software or this website at any time, including taking a download offline for maintenance. We are under no obligation to provide updates, support or backwards compatibility, although in practice new versions are published frequently.
9. Third-party services
The software connects to broker APIs operated by third parties. We do not control those services and are not responsible for their availability, accuracy, pricing, rejections, outages or changes to their interfaces.
10. Termination
Your licence terminates automatically if you breach these terms. On termination you must stop using the software and delete it. Sections 4 to 7 survive termination.
11. Governing law
These terms are governed by the laws of JURISDICTION, e.g. India, and the courts of CITY have exclusive jurisdiction over any dispute arising from them.
12. Changes to these terms
We may update these terms. The "last updated" date above will change, and continued use of the software after that date constitutes acceptance.
